Terms of Service for the Guardianly App

Agreement to Terms

By downloading, installing, or using the Guardianly mobile application operated by Guardianly, Inc. ("App," "Service," "Guardianly," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

 

Service Availability: Guardianly is currently available only in the United States.

Description of Service

Guardianly is a VoIP (Voice over Internet Protocol) calling application that provides:

• A new US phone number for making and receiving calls and SMS messages

• Voice calling services using your new Guardianly number and optionally your existing number through call forwarding

• SMS text messaging through your Guardianly phone number

• Scam call detection and protection using real-time AI analysis

• Contact management and caller identification

• Real-time call analysis and security features

• Voicemail storage and management

• AI-powered call summaries, notes, and action item generation

• ScamScan feature for analyzing uploaded images and text content for potential scams and fraud

• Task tracking and productivity management for call-related activities

• Real-time translation and multi-language support (English, Spanish, Japanese, Korean, Chinese)

• Subscription-based premium features

Eligibility

You must be at least 13 years old to use this Service. Users aged 9-12 may use the Service with parental or guardian supervision and consent. By using Guardianly, you represent and warrant that:

• You are at least 13 years old, OR

• You are between 9 and 12 years old and have parental/guardian permission and supervision

• You have the legal capacity to enter into these Terms

If you are a parent or guardian permitting a child aged 9-12 to use this Service, you agree to be bound by these Terms and are responsible for their use of the Service.

Account and Registration

• You must create an account to use the Service

• Account registration requires phone number verification through SMS or caller ID

• You will receive a new US phone number upon registration

• You are responsible for maintaining the confidentiality of your account credentials

• You agree to provide accurate and complete information during registration

• You are responsible for all activities that occur under your account

• Each account is associated with your unique Guardianly phone number for service delivery

Acceptable Use

You agree to use Guardianly only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Activities

• Use the Service for illegal activities or to facilitate illegal activities

• Make harassing, threatening, or abusive calls or send abusive SMS messages

• Attempt to bypass, disable, or interfere with security features or scam detection systems

• Reverse engineer, decompile, or disassemble the App

• Transmit malware, viruses, or harmful code

• Violate any applicable laws or regulations

• Impersonate others or provide false information

• Use the Service to spam or send unsolicited communications via calls or SMS

• Abuse or overload our AI services or attempt to manipulate AI-generated content

• Upload inappropriate, illegal, or harmful content through ScamScan or any other feature

• Use ScamScan to analyze content you do not have permission to upload or analyze

• Share your account credentials or allow unauthorized access to your account

Emergency Services Limitation

IMPORTANT: Guardianly is not a replacement for traditional phone service and may not support emergency calling (911/emergency services). Always ensure you have access to traditional emergency calling methods.

VoIP Service Terms

Service Availability

• VoIP services require internet connectivity

• Service quality depends on your internet connection

• We do not guarantee uninterrupted service availability

• Maintenance and updates may temporarily affect service

Call Quality and Limitations

• Call quality may vary based on network conditions

• We are not responsible for network-related call issues

• Some features may not be available in all regions within the US

​

International Calling Policy

• International calling is currently limited to the United States and Canada only

• Calls to other international destinations are not supported at this time

• We may expand international calling support in the future with appropriate notice

• Emergency calling (911) is handled through your cellular network, not our VoIP service

Privacy and Data Collection

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Guardianly, you consent to our data practices as described in the Privacy Policy.

• We collect contact and call data as described in our Privacy Policy

• Audio data is processed in real-time for scam detection and productivity purposes using third-party AI services

• ScamScan uploaded images and text content are stored on our servers and processed through AI services for fraud analysis

• Contact numbers are encrypted and uploaded for caller identification features

• Voicemail recordings are stored securely on Twilio's infrastructure

• SMS message content is stored only on your local device for privacy

• Call content (transcripts, summaries, action items) is stored only on your device for privacy

• We implement security measures to protect your data and comply with privacy laws

Scam Detection and AI Services

How It Works

• Our scam detection analyzes call patterns, audio content, and conversation transcripts in real-time

• Phone call scam detection results are provided as warnings and recommendations during calls

• ScamScan analyzes uploaded images and text content for potential scams, fraudulent patterns, and suspicious elements

• Detection results are provided as warnings and recommendations during calls and through ScamScan analysis

• The service uses automated AI analysis from third-party providers (Google AI and OpenAI)

• AI services generate call summaries, notes, and action items from your conversations

• Detection algorithms learn from user feedback to improve accuracy

Limitations and Disclaimers

• Scam detection is not 100% accurate and may miss some fraudulent calls

• ScamScan analysis is not 100% accurate and may miss fraudulent content or incorrectly flag legitimate content

• False positives and false negatives may occur in both call detection and ScamScan analysis

• AI-generated content (summaries, notes, action items, ScamScan analysis) may contain errors or inaccuracies

• You should use your own judgment regarding suspicious calls, ScamScan results, and verify AI-generated content

• We are not liable for undetected scams, blocked legitimate calls, incorrect ScamScan analysis, or inaccurate AI-generated content

• Third-party AI services have their own terms and limitations

ScamScan and User Content

​

Your Content and Responsibilities

• You retain ownership of images and text content you upload through ScamScan

• You grant us a license to process, analyze, and store your uploaded content for providing ScamScan services

• You represent that you have the right to upload and analyze the content you submit

• You are responsible for ensuring uploaded content does not violate any laws or third-party rights

• You agree not to upload inappropriate, illegal, harmful, or private content belonging to others

ScamScan Usage Limits

• Free users have limited ScamScan inquiries per month (currently 30)

• Premium subscribers may have unlimited or higher limits depending on subscription tier

• Usage limits may change with appropriate notice

• Excessive or abusive use may result in service restrictions

Content Deletion

• You can delete individual ScamScan conversations through the app

• Deleting conversations removes them from our servers

• We may retain usage statistics and aggregated data for service improvement

 

Intellectual Property

Our Rights

• Guardianly and all related trademarks are our property

• The App and its content are protected by copyright and other intellectual property laws

• We retain all rights not expressly granted to you

Your License

• We grant you a limited, non-exclusive, non-transferable license to use the App

• This license is revocable and subject to these Terms

• You may not modify, distribute, or create derivative works

Third-Party Services

VoIP and Telecommunications Services

• We use Twilio and other third-party providers for VoIP calling and SMS services

• Third-party telecommunications terms and policies apply to your use of calling and messaging features

• We are not responsible for third-party service interruptions or quality issues

AI and Analysis Services

• We use Google AI and OpenAI services for call analysis, scam detection, content generation, and ScamScan image/text analysis

• These services process your call audio, transcripts, uploaded images, and text content according to their own terms and privacy policies​

• AI service availability and accuracy may vary

• We are not responsible for AI service outages or processing errors

​

Apple Services Integration

• The App integrates with Apple services for subscriptions, push notifications, and app functionality

• Apple's terms and policies apply to these integrated features

• Subscription management is handled through your Apple account

​

Other Third-Party Services

• We may integrate with additional services for email, cloud storage, and app functionality

• All third-party integrations are subject to their respective terms and privacy policies

• We are not responsible for third-party service issues or changes

Fees and Payment

• Limited basic features may be available during trial periods

• Premium subscription required for full functionality:

  • Monthly subscription: $9.99/month

  • Annual subscription: $99.99/year

• Pricing is subject to change with 30 days notice

• Most features including scam detection, AI analysis, and advanced calling features require a premium subscription

Payment Terms

• Payments are processed through Apple App Store

• Subscriptions automatically renew unless cancelled through your Apple account

• Refunds are subject to Apple App Store policies and terms

• You are responsible for applicable taxes

• Cancel anytime through your Apple account settings or contact our support

• Subscription status is managed through Apple's systems and may take time to update

• Account access is tied to active subscription status

Disclaimers and Limitations

 

Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose

• Warranties of non-infringement

• Warranties of uninterrupted or error-free service

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages

• Loss of profits, data, or business opportunities

• Damages resulting from service interruptions or third-party service failures

• Damages from undetected scam calls or security breaches

• Damages from blocked legitimate calls or false positive detections

• Inaccurate AI-generated content, summaries, recommendations, or ScamScan analysis results

• Privacy or security issues with third-party AI or telecommunications services

• Issues related to uploaded content, ScamScan analysis accuracy, or content deletion

• Loss of SMS messages, call recordings, or other data

• Issues related to subscription billing or Apple App Store transactions

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PAST 12 MONTHS.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of the Service

• Your violation of these Terms

• Your violation of any third-party rights

• Your violation of applicable laws

Termination

Your Rights

• You may stop using the Service at any time

• You may delete your account through the App settings

Our Rights

We may terminate or suspend your access immediately if you:

• Violate these Terms

• Engage in prohibited activities

• Fail to pay applicable fees

• For any reason with or without notice

Effect of Termination

• Your right to use the Service ends immediately

• We may delete your account and data

• Provisions that should survive termination will remain in effect

Geographic Restrictions

• The Service is available only in the United States

• You are responsible for compliance with local, state, and federal laws

• Some features may be restricted based on your location within the US

Changes to Terms

We may modify these Terms at any time by:

• Posting updated Terms in the App

• Sending notification through the App or email

• Providing other reasonable notice

Your continued use after changes constitutes acceptance of the updated Terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution

• We encourage resolving disputes through direct communication first

• Any legal disputes will be resolved in the courts of Delaware, United States

• You may have rights to arbitration under applicable law

Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guardianly regarding the Service.
