Agreement to Terms

By accessing or using the Gabi service operated by Guardianly, Inc. ("Service," "Gabi," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

Service Availability: Gabi is currently available only in the United States.

Description of Service

Gabi is an AI companion service that provides:

• Scheduled phone calls with an AI companion for warm, engaging conversations

• Natural voice conversations powered by artificial intelligence

• Personalized conversation experiences tailored to individual users

• Flexible scheduling for regular calls at preferred times

• Companionship and social engagement through technology

• Subscription-based access to the service

Eligibility

You must be at least 18 years old to use this Service. By using Gabi, you represent and warrant that:

• You are at least 18 years old

• You have the legal capacity to enter into these Terms

• You are a resident of the United States

Account and Registration

• You must create an account to use the Service

• Account registration requires phone number verification through SMS

• You must provide accurate personal information including name, email, date of birth, and ZIP code

• You are responsible for maintaining the confidentiality of your account credentials

• You agree to provide accurate and complete information during registration

• You are responsible for all activities that occur under your account

• Each account is associated with your verified phone number for service delivery

Acceptable Use

You agree to use Gabi only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Activities

• Use the Service for illegal activities or to facilitate illegal activities

• Attempt to bypass, disable, or interfere with security features or AI systems

• Reverse engineer, decompile, or disassemble any part of the Service

• Transmit malware, viruses, or harmful code

• Violate any applicable laws or regulations

• Impersonate others or provide false information

• Abuse or overload our AI services or attempt to manipulate AI-generated conversations

• Share your account credentials or allow unauthorized access to your account

• Use the Service in any manner that could damage, disable, or impair the Service

• Harass, abuse, or harm others through use of the Service

Emergency Services Limitation

IMPORTANT: Gabi is not a replacement for emergency services and does not support emergency calling (911/emergency services). In case of emergency, always use traditional emergency calling methods.

AI Service Terms

Service Availability

• AI companion calls require phone connectivity

• Service quality depends on your phone connection

• We do not guarantee uninterrupted service availability

• Maintenance and updates may temporarily affect service

• Scheduled calls are delivered based on your timezone and preferences

Call Quality and Limitations

• Conversation quality may vary based on network conditions and AI service availability

• We are not responsible for network-related call issues

• AI conversations are generated in real-time and may occasionally contain errors or inaccuracies

International Calling Policy

• International calling is currently limited to the United States and Canada only

• Calls to other international destinations are not supported at this time

• We may expand international calling support in the future with appropriate notice

• Emergency calling (911) is handled through your cellular network, not our VoIP service

Privacy and Data Collection

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Gabi, you consent to our data practices as described in the Privacy Policy.

• Audio is processed in real-time during active calls; text transcripts are stored for service improvement​

• AI-generated conversations may contain errors, inaccuracies, or inappropriate content

• The AI is not a substitute for professional medical, mental health, legal, or financial advice

• Conversations are for companionship and entertainment purposes only

• You should not rely on AI-generated content for important decisions

• We are not liable for AI-generated content or conversation outcomes

• Third-party AI services have their own terms and limitations

• The Service is not intended to diagnose, treat, or provide therapy for any medical or mental health condition

Medical and Mental Health Disclaimer

IMPORTANT: Gabi is designed for companionship and social engagement only. It is NOT:

• A substitute for professional medical care or mental health treatment

• A therapy or counseling service

• Qualified to provide medical, mental health, or crisis intervention services

• Able to diagnose or treat any medical or psychological condition

Your License

• We grant you a limited, non-exclusive, non-transferable license to use the Service

• This license is revocable and subject to these Terms

• You may not modify, distribute, or create derivative works

Third-Party Services

Telecommunications Services

• We use Twilio and other third-party providers for phone call delivery

• Third-party telecommunications terms and policies apply to call delivery

• We are not responsible for third-party service interruptions or quality issues

AI and Conversation Services

• We use Google AI (Gemini) as our primary provider for real-time conversation generation and speech recognition

• OpenAI services are available as an optional speech recognition provider

• These services process your audio and conversation content according to their own terms and privacy policies

• Call transcripts are stored on our servers for service quality and improvement

• AI service availability and quality may vary

• We are not responsible for AI service outages or processing errors

• Stripe's terms and policies apply to payment transactions

• We do not store your complete payment card information

Fees and Payment

• Premium subscription required for service access:

• Starter Plan: $9.99/month (150 minutes of calls per month)

• Plus Plan: $19.99/month (400 minutes of calls per month)

• Pricing is subject to change with 30 days notice

• Free trial may be available for new users

• Additional usage beyond plan limits may incur overage charges

Payment Terms

• Payments are processed through Stripe

• Subscriptions automatically renew unless cancelled

• You can cancel anytime through your account settings or by contacting support

• Refunds are handled on a case-by-case basis

• You are responsible for applicable taxes

• Cancellation takes effect at the end of the current billing period

• No refunds for partial subscription periods

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose

• Warranties of non-infringement

• Warranties of uninterrupted or error-free service

• Warranties regarding AI-generated content accuracy or appropriateness

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages

• Loss of profits, data, or business opportunities

• Damages resulting from service interruptions or third-party service failures

• Damages from AI-generated content, conversations, or recommendations

• Emotional distress or psychological harm from AI conversations

• Privacy or security issues with third-party AI or telecommunications services

• Issues related to subscription billing or payment processing

• Reliance on AI-generated content for any purpose

• Any harm resulting from your use or inability to use the Service

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PAST 12 MONTHS.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of the Service

• Your violation of these Terms

• Your violation of any third-party rights

• Your violation of applicable laws

Termination

We may terminate or suspend your access immediately if you:

Effect of Termination

• Your right to use the Service ends immediately

• We may delete your account and data as described in our Privacy Policy

• Provisions that should survive termination will remain in effect

• No refunds will be provided for the remaining subscription period

Geographic Restrictions

• The Service is available only in the United States

• You are responsible for compliance with local, state, and federal laws

• We may restrict service based on your location

Changes to Terms

We may modify these Terms at any time by:

• Sending notification through email

Your continued use after changes constitutes acceptance of the updated Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guardianly regarding the Service.
